Terms of Service

These Terms of Service ("Terms") govern your use of whatplan.ai (the "Service"), operated by Moreno Software Solutions LLC, a Wyoming limited liability company ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The service

whatplan.ai turns a topic you choose into a structured course — chapters, lessons, quizzes, and an AI tutor — generated by artificial intelligence. The Service is currently in open beta: it is under active development, features may change or break, and availability is not guaranteed.

Eligibility and your account

You must be at least 18 years old to use the Service. You are responsible for the activity under your account and for keeping your login secure. Provide accurate account information and let us know if you suspect unauthorized use.

Acceptable use

You agree not to:

  • use the Service for anything unlawful, harmful, or abusive;
  • attempt to break, overload, probe, or circumvent the Service's security or rate limits;
  • use automated means to extract data or generate content at scale beyond normal personal use;
  • generate content that is illegal, hateful, or infringes others' rights;
  • misrepresent AI-generated content as professional advice to others;
  • submit sensitive personal information to the AI features — including health or medical information, financial-account or payment-card numbers, government-issued identifiers (such as passport, national ID, or social security numbers), precise location, or any other information a reasonable person would consider highly sensitive.

The sensitive-information restriction reflects an obligation the AI providers place on us; do not enter such information into the course-topic or AI-tutor fields. We may suspend or terminate accounts that violate these Terms.

AI-generated content — important

Courses, lessons, quizzes, and tutor answers are generated by AI and may be inaccurate, incomplete, or out of date. The Service is an educational aid, not a source of professional advice. Do not rely on it for medical, legal, financial, safety, or other consequential decisions, and independently verify anything important. You use AI-generated content at your own risk.

Intellectual property

Your content. The topics and questions you submit ("Your Content") remain yours. You grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process Your Content — and to sublicense it to the service providers who run the Service on our behalf (such as our hosting, database, and AI providers) — solely to operate, secure, and provide the Service, to generate your courses, and to monitor and analyze use of the AI features for safety, abuse prevention, and operational purposes such as cost and capacity analysis. We do not use Your Content to train AI models or to build advertising profiles. This license lasts only as long as we retain Your Content; it ends when Your Content is deleted, except for copies that remain transiently in backups or that we must keep to comply with law. You represent that you have the rights needed to submit Your Content and that doing so does not violate anyone else's rights or any law.

Generated content. Subject to these Terms and the terms of the underlying AI providers, you may use the courses and lessons generated for you for your own personal learning. Because this content is produced by AI, you understand it may not be unique (others may receive similar output), may not be protectable by copyright, may be inaccurate or out of date, and may not be free of third-party rights. We make no promise that generated content is original or that you own it.

Our brand. The whatplan.ai name, logo, design, and software are ours and are protected by intellectual-property laws. These Terms do not grant you rights to them.

Beta, changes, and availability

Because the Service is in beta, we may add, change, suspend, or discontinue any part of it at any time, with or without notice. We do not promise any particular uptime or that the Service will be error-free.

Fees

The Service is currently offered free of charge during the beta. If we introduce paid plans in the future, we will make the terms clear before you are charged.

Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, and any warranty regarding the accuracy or reliability of AI-generated content, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, Moreno Software Solutions LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim or USD 100.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. You agree that any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction — except that this does not override any mandatory right you may have under the consumer-protection law of your place of residence to bring a claim in your local courts.

General

Severability. If any provision of these Terms is found unenforceable, the rest remain in full effect, and the unenforceable provision will be applied to the maximum extent permitted by law.

Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.

Notices. We may provide notices to you by email or through the Service. You may send notices to us at hello@trymss.com.

Changes to these terms

We may update these Terms as the Service evolves. When we make material changes, we will update the "Last updated" date above and give you advance notice by a reasonable means (such as email or an in-app notice) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
